End-User License Agreement (EULA) for ai-agent-link

This End-User License Agreement ("EULA") is a legal agreement between you and Mycel Mushrooms LLC ("Company," "we," "us," or "our") governing your use of the ai-agent-link application ("Software").

By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use the Software.

1. License Grant

Mycel Mushrooms LLC grants you a revocable, non-exclusive, non-transferable, limited license to use the Software solely for internal business operations and in accordance with the terms of this Agreement.

2. Restrictions on Use

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software.

• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.

• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Mycel Mushrooms LLC or its affiliates, partners, or suppliers.

3. Integration with Third-Party Services

The Software integrates with third-party services, including QuickBooks Online (Intuit Inc.). Your use of these third-party services is subject to their respective terms and conditions. Mycel Mushrooms LLC is not responsible for the availability, accuracy, or reliability of any third-party services.

4. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is, and shall remain, the sole and exclusive property of Mycel Mushrooms LLC.

5. Disclaimer of Warranties

The Software is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Mycel Mushrooms LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

6. Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of Mycel Mushrooms LLC and any of its suppliers under any provision of this EULA and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software. To the maximum extent permitted by applicable law, in no event shall Mycel Mushrooms LLC or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

8. Changes to this EULA

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. By continuing to access or use our Software after any revisions become effective, you agree to be bound by the revised terms.
